Eisende partij zal hierna Arvato worden genoemd. Gedaagde sub 1 zal hierna TenneT NL worden genoemd en gedaagde sub 2 TenneT D. Gezamenlijk zullen gedaagden TenneT c.s. worden genoemd.
1 De procedure
Het verloop van de procedure blijkt uit:
- de dagvaarding met producties 1 tot en met 32
- de vermeerdering van eis met producties 33 en 34 van Arvato - de conclusie van antwoord met producties 1 tot en met 3 van TenneT c.s. - de mondelinge behandeling van 16 augustus 2023 - de pleitnota van Arvato
- de pleitnota van TenneT c.s.
Ten slotte is vonnis bepaald.
2 De feiten
TenneT c.s. zijn voornemens hun IT-infrastructuur te moderniseren, omdat de huidige infrastructuur gedateerd is en niet toekomstbestendig wordt geacht. Met de huidige IT-infrastructuur zijn TenneT c.s. naar eigen zeggen niet in staat de energietransitie goed te ondersteunen. In verband met die modernisering hebben TenneT c.s. op 24 november 2021 een marktconsultatie (de zogenaamde “Market Consultation – Managed Cloud Provider”) aangekondigd. Die marktconsultatie had betrekking op de IT-infrastructuur van zowel TenneT NL als TenneT D. TenneT c.s. hadden in deze fase als doel een oplossing te vinden voor een cloud-infrastructuur, waarbij de niet-kritieke softwareapplicaties in een publieke cloud-omgeving zouden worden geëxporteerd. Deze cloud-omgeving zou als Platform-as-a-Service (PaaS) en Infrastructure-as-a-Service (IaaS) moeten worden geconcipieerd.
Voor het ontwerp, de implementatie en de uitvoering van deze PaaS- en IaaS-modellen waren TenneT c.s. op zoek naar een externe partner, die haar ‘best practice’ oplossingen ter beschikking kon stellen. Het zogenaamde Scope Document dat in het kader van de marktconsultatie is opgesteld, luidt als volgt:

This project is part of the Data Center Strategy Program.
One of the main goals of the Data Center Strategy program is to insource the critical applications and to outsource the non-critical applications. For the non-critical applications, TenneT aims to use the public cloud. TenneT lacks knowledge and skills to manage public cloud services. For this reason, we need to increase our public cloud service knowledge, and tender for a partner to manage the standard environments in the public cloud. A Managed Cloud Provider (MCP) will enable TenneT to move applications from the current infrastructure at an external infrastructure provider location and TenneT NL datacenters towards infrastructure in a public cloud and also provide a public cloud environment for devops purposes to ITF (information Technology & Facilities, TenneT’s IT & Facility management department). TenneT seeks guidance whether the MCP could also provide the contracts with the Hyperscalers (...) or that this should be contracted separately.
The MCP will also be the migration partner for onboarding the non-critical applications to their services, and to help and guide TenneT in the cloud journey.

TenneT ITF had gained experience with two different sourcing options in the past years: mostly outsourced delivery in TenneT Germany (DE) and mostly insourced delivery in TenneT the Netherlands (NL). Because the amount of services shared between DE and NL is increasing, keeping the current completely opposite approaches is a serious risk when it comes to reliability of delivery, standardization and overall orchestration.

TenneT c.s. hebben ervoor gekozen om in totaal zes partijen uit te nodigen voor deelname aan de marktconsultatie, waarvan één partij ervoor heeft gekozen om niet mee te doen. Arvato maakte deel uit van de resterende vijf partijen en heeft aldus aan de consultatie deelgenomen. De uitkomsten van de marktconsultatie zijn op 29 augustus 2022 door TenneT c.s. in een rapport vastgelegd en gepubliceerd.
TenneT c.s. hebben vervolgens op 12 oktober 2022 de opdracht “Managed Cloud Provider – EU 423” aangekondigd via TenderNed. Het betreft een mededingingsprocedure met onderhandeling, die bestaat uit een selectiefase, een initiële inschrijffase, een onderhandelingsfase en een gunningsfase. De in dat verband door TenneT c.s. opgestelde Aanbestedingsleidraad “General provisions European Tender Procedures TenneT” vermeldt onder meer het volgende:
