Tussenvonnis. De garanties worden niet gekwalificeerd als borgtochtovereenkomsten, maar scheppen een (separate) hoofdelijke aansprakelijkheid aan de zijde van de garantsteller. Partijen worden hierna aangeduid met DCI 1 , DCI 3 , Damen c.s. (eiseressen gezamenlijk) en Seamed.
1 De procedure
Het verloop van de procedure blijkt uit:

de e-mail van 16 augustus 2024 van Damen c.s. , met producties 14 tot en met 26 van Damen c.s ;

het bericht van 26 augustus 2024 van Seamed met producties 7 en 8;

de akte wijziging eis van Damen c.s. van 23 augustus 2024;

de mondelinge behandeling van 28 augustus 2024 en de ter gelegenheid daarvan overgelegde spreekaantekeningen van Damen c.s. en Seamed.
Ten slotte is vonnis bepaald.
2 De feiten
DCI 1 en DCI 3 zijn de eigenaressen van de schepen “ Ocean Mistral ” respectievelijk “ Ocean Bise ”.
Eind 2021 en begin 2022 hebben Damen c.s. contact met Seamed over het in rompbevrachting laten nemen van voormelde schepen.
Per e-mail van 3 januari 2022 sturen Damen c.s. aan Seamed onder meer het volgende bericht:
“Thanks for the meeting just now and the inspection on board of the Ocean Bise and Ocean Mistral .
We appreciate your below counter offer and are going to discuss this with our board today;
Purchase price for both vessel total Euro 3.500.000.- (2x Euro 1.750.000).
- 3 months cash buffer prior departure
- Mobilization costs including crew + fuel + insurance, etc for the account of Seamed
- Start charter period 50 days after departure
- Barecon contract form
- Payment scheme for early repayment to be adjusted
- Day rate to be adjusted

Works to carried out for the cost of Damen /Marine Core:
Ocean Bise :
• Drydock —full painting hull + underwatership
• 5 years class survey
• Fenders
• New matrasses + curtains
• New galley equipment; freezer, stove, oven
• Equipment / machinery as is where is
Ocean Mistral :
• Full painting hull
• Annual survey renewal
• Fenders
• New matrasses + curtains
• New galley equipment; freezer, stove, oven

Op dezelfde dag sturen Damen c.s. nog een e-mail. Hierin staat onder meer het volgende vermeld:
“I'm pleased to inform you that I have received the green light for your counter proposal, so we can finalize the deal prior your departure and proceed with the agreed maintenance works.
Please find enclosed the BARECON contract and the appendixes I, II, III for the charter-to-own lease agreement.
Could you please provide us the full details (including; entity name, address, chamber of commerce registration number,) of the mother company and the special purpose vehicle (SPV) company where under the boats are going to be registered.”
Op een gegeven moment hebben Damen c.s. en Sea and Rent, als bevrachter, twee bevrachtingsovereenkomsten (Barecon 2001) getekend. Seamed is de moedervennootschap van Sea and Rent.
In de bevrachtingsovereenkomst met betrekking tot de “ Ocean Mistral ” staat onder meer het volgende vermeld:

PART II
3. Delivery
(...)
(a) The Owners shall before and at the time of delivery exercise due diligence to make the vessel seaworthy. And in every respect ready in hull machinery and
equipment for services under this Charter. (...)
(b) The Vessel shall be properly documented on delivery in accordance with the laws of the flag State indicated in Box 5 and the requirements of the classification society stated in Box 10. The Vessel upon delivery shall have her survey cycles up to date and trading and class certificates valid for at least the number of months agreed in Box 12.
(c) The delivery of the Vessel by the Owners and the taking over of the Vessel by the Charterers shall constitute a full performance by the Owners of all the Owners’ obligations under this Clause 3, and thereafter the Charterers shall not be entitled to make or assert any claim against the Owners on account of any conditions, representations or warranties expressed or implied with respect to the Vessel.
4. Time for Delivery
The Vessel shall not be delivered before the date indicated in Box 14 without the Charterers' consent and the Owners shall exercise due diligence to deliver the Vessel not later than the date indicated in Box 15. (...)
28. Termination
a) Charterers' Default
The Owners shall be entitled to withdraw the Vessel from the service of the Charterers and terminate the Charter with immediate effect by written notice to the Charterers if:
(i) the Charterers fail to pay hire in accordance with Clause 11. (....)
29. Repossession
In the event of the termination of this Charter in accordance with the applicable provisions of Clause 28, the Owners shall have the right to repossess the Vessel from the Charterers at her current or next port of call, or at a port or place convenient to them without hindrance
or interference by the Charterers, courts or local authorities. (...)All arrangements and expenses relating to the settling of wages, disembarkation and repatriation of the Charterers' Master, officers and crew shall be the sole responsibility of the Charterers.”
In Appendix I bij de bevrachtingsovereenkomsten is onder meer opgenomen:
“Article A)
At the end of the charter period as per Part I, Box 21 of this agreement. Charterers have the obligation to purchase the vessel in the condition "as is, where is" at that moment. Charterers however also have the right to purchase the vessel at any time during the charter period in the condition "as is, where is"
The purchase price will be calculated on the basis of the mutual agreed purchase price at delivery of EUR 1,750.000 - (in words euro one million seven hundred fifty thousand)
minus following:
i. Balance of the Buffer Capital in accordance with Appendix I, Article B ii
ii. Total amortization paid, which is amortization per day (as per Appendix I. article C) times number of days on-hire (...)
Article B) Non-refundable deposit to be paid by Charterers to Owner is agreed as follows: i. EUR 124.225,- (...) payable before departure from UAE port.
These amounts are kept as buffer capital available at the bank account of the Owners (the "Buffer Capital”) in order to secure timely and full payment by the Charterers under the terms of this Charter The Charterers and the Owners agree that the Owners are entitled to settle with the Buffer Capital any and all part of the Charter Hire and/or any other amount due to the Owners by the Charterers under the terms of this Charter, in case such Charter Hire an/or amount is not paid in time and/or in full to the Owners; and (c) that the Owners shall notify the Charterers of any settlement and the amount hereof; and (d) the Charterers are under the obligation immediately after notification to supplement the Buffer Capital with the amount the Owners had to pay the Charter Hire.
Any positive balance of the Buffer Capital on termination of the Charter shall be deducted from the purchase price of the Vessel at the moment of purchase as per Article A.

Article F)
This Charter and all of its Annexes will only become effective when the following conditions precedents are fulfilled:
i. Owners have received in their bank accounts the non-refundable down payment as per this appendix, Article B.i.
ii. Charterers have provided Owners a copy of extract of Chamber of Commerce not older than 6 (six) months
iii. Charterers have provided Owners a copy of a valid passport of the director who will sign on behalf of the Charterer and an official document stating that the person who has signed the Barecon is authorized to represent Charterer (e.g. Chamber of Commerce or articles of association).
iv. Charterers and Guarantors have provided Owners documentation of the ultimate beneficiary owner
v. Charterers and Guarantors have provided Owners a copy of articles of association.
viii. Guarantors have provided Owners with an original copy of the Performance Guarantee in accordance with the wording as attached as Appendix ill or by signing of Appendix III.
ix. Board approval for this agreement by the board of the Owner”
Als Appendix III bij de bevrachtingsovereenkomsten zijn twee gelijkluidende Performance Guarantees gevoegd; één voor de verplichtingen van Sea and Rent ten opzichte van DCI 1 en één voor die ten opzichte van DCI 3 (hierna: de garanties). Damen c.s. en Seamed tekenen de garanties beide op 4 januari 2022.
De garanties vermelden de volgende tekst, waarbij de ene garantie DCI 1 als Beneficiary vermeldt en de andere garantie DCI 3 :
“BARECON 2001” Standard Bareboat charter – APPENDIX III
Performance Guarantee
The Undersigned:
1. Seamed France SAS., a company organised and existing under the laws of the
France, having its corporate seat at Narbonne and its principal place of business
at [adres 1], registered in the commercial
register under number [nummer 1] (the "Guarantor");
and
2. Damen Charter International 1 B.V., a company organised and existing under the
laws of the Netherlands, having its corporate seat at Gorinchem and its principal
place of business at [adres 2], the Netherlands,
registered in the commercial register under number [nummer 2] (the "Beneficiary");
WHEREAS
A. the Beneficiary and SEA AND RENT, a company organised and existing under the laws of the France, having its corporate seat at Narbonne and its principal place of business at [adres 1] (the "Contractor"), registered in the commercial register under number [nummer 3] , have entered into a bareboat charter (the "Contract") dated the 4th of January, 2022, for mv Stu 2608, YN509835 ;
B. pursuant to article Appendix I, Article F) ii of the Contract, the Contractor has to furnish the Beneficiary with a performance guarantee issued by its parent company;
HAVE AGREED AS FOLLOWS:
1. The Guarantor irrevocably and unconditionally by way of independent obligations and not as surety:
(a) guarantees the Beneficiary the punctual performance by the Contractor
of its obligations under or pursuant to, or in connection with, the Contract;
and
(b) undertakes with the Beneficiary that whenever the Contractor does not perform any of its obligations under or pursuant to, or in connection with, the Contract, the Guarantor shall at the sole discretion of the Beneficiary immediately on demand (i) perform such obligations as if such Guarantor was the principal obligor and/or (ii) indemnify the Beneficiary against any cost, loss or liability stated by the Beneficiary to be suffered or incurred by it arising out of, or in connection with, any failure by the Contractor to perform any of the guaranteed obligations or any of the guaranteed obligations being or becoming unenforceable, invalid or illegal.
2. The Guarantor is severally liable for the fulfilment of all obligations by the Contractor under or pursuant to, or in connection with, the Contract.
3. This guarantee is a continuing guarantee and will extend to the ultimate balance of
the guaranteed obligations, regardless of any intermediate performance, payment or
discharge in whole or in part.
4. If any payment or performance by the Contractor or a Guarantor or any discharge
given by the Beneficiary is avoided or reduced as a result of bankruptcy,
insolvency, reorganization or any similar event:
(a) the liability of the Guarantor and/or the Contractor shall continue as if the
payment, discharge, avoidance or reduction had not occurred; and
(b) the Beneficiary shall be entitled to recover the value or amount of that
security or payment from the Guarantor and/or the Contractor, as if the
payment, performance, discharge, avoidance or reduction had not
occurred.
5. The obligations of the Guarantor under this guarantee will not be affected by an act,
omission, matter or thing which, but for this Clause, would reduce, release or
prejudice any of the obligations under this guarantee (without limitation and whether
or not known to them or the Beneficiary), including but not limited to:
(a) any time, waiver or consent granted to, or composition with, the Contractor
or any other person liable for the guaranteed obligations;
(b) the release of any other obligor or any other person liable for the guaranteed
obligations under the terms of any composition or arrangement with the
Contractor or such other person;
(c) any amendment (however fundamental) or replacement of the Contract or
any other document or security in connection therewith; or
(d) any insolvency or similar proceedings.
6. The Guarantor hereby waives any right it may have of first requiring the Beneficiary
to proceed against or enforce any other rights or security or claim payment from any
person before claiming from the Guarantor under this guarantee, which waiver is
hereby accepted by the Beneficiary.
7. This guarantee is in addition to and is not in any way prejudiced by any other
guarantee or security now or subsequently held the Beneficiary.
8. This guarantee will expire on the date on which all obligations under the Contract
have been fulfilled and no further obligations shall arise under the Contract.
9. The Beneficiary may not transfer any of its rights under this guarantee (including,
for the avoidance of doubt, the right to demand payment), without the prior
written consent of the Guarantor, not unreasonably withheld.
10. This guarantee shall be governed by and construed in accordance with the laws of
the Netherlands.
11. Any disputes arising out of or in connection with this guarantee shall in the first
instance exclusively be brought before the competent court of law in Rotterdam
for any disputes and claims hereunder.”
Damen c.s. sturen per e-mail van 15 januari 2022 een verdeling van de kosten tussen Seamed en Damen c.s. voor aanvullende werkzaamheden aan de Ocean Mistral . In deze mail is het volgende opgenomen:
“Please find enclosed the standard Albwardy Damen docking charges.
As agreed Damen will pay the additional costs for the 4 days dry-docking the Ocean Mistral for an underwater inspection and blasting and painting of the hull (above water).
Additional cost for below works as per tariff sheet and to be agreed between Seamed and Albwardy Damen . [persoon A] will also provide an estimate on the additional required docking time for the agreed works, during your meeting on Monday.
I strongly suggest your engineer(s) to postpone their return flights and supervise the works on board of the Ocean Mistral and Ocean Bise during the dry docking.
Additional Scope Damen (for account of Damen )
Fix rubber on the stairs Ocean Mistral
Fix Rubbers windows which are leaking Ocean Mistral
Logos + name change Ocean Mistral and Ocean Bise
Check with chain blocks if we the stern roller can be rotated
If not provide Sea Med a quotation for repair
Painting floors in accommodation RAL 7000
Ocean Mistral blasting and painting of hull above water
Damen will pay for the dry docking fees to Dubai Maritime City for docking the Ocean Mistral for an underwater inspection
Additional Scope Seamed (for account of Seamed)
DAMEN will invite Caterpillar on board, so Seamed can discuss directly on the scope.
Payment directly between Caterpillar and Seamed.
Below works are recommended in order to avoid a dry docking in Africa:
Works to be confirmed by Seamed as soon as the Ocean Mistral is docked.
To be agreed and invoice directly between Albwardy Damen and Seamed.
Painting / antifouling underwater ship
Replace anodes
Cleaning coolers
Check inlet valves / overboard valves
Propulsion shafts pulling and checking
Checking rudder clearance
Propellor polish
Check anchors / cleaning chain locker / tank inspection
Thickness measurement hull
In ref to our meeting. I'm currently discussing the following scope with Marine Core (to be agreed upon);
Marine core, Ocean Bise
i. Drydocking - blasting and full painting of hull, deck, underwater ship (will be done by Marine Core)
i. 5 years class survey renewal without recommendations from the class society (will be done by Marine Core)
ii. New matrasses, bed linen
New curtains for beds and windows (dark blue color)
(will be done by Marine Core)
iii. Deep cleaning of accommodation & pest control
(cockroaches in accommodation)
(will be done by Marine Core)
iv. Freezer, stove, oven in galley
(will be replaced by Damen )

Op 23 januari 2022 stuurt Albwardy Damen Shipyards Services een overzicht van werkzaamheden naar Seamed, waarbij onder meer het volgende wordt vermeld:
“Further to my below email, please urgently revert with your confirmation to proceed with the survey items on Ocean Mistral .
As already advised by [persoon B] , following items needs to be carried out and credit for class survey in order to avoid docking in South Africa ( Due in September).”
Seamed bevestigt op dezelfde dag per e-mail dat de werkzaamheden akkoord zijn.
Damen c.s. sturen per e-mail van 14 februari 2022 aan onder meer Seamed het volgende bericht:
“ [persoon C] has asked me to sharing the invoices for the dry docking works of the Ocean Mistral , please see attached.
Please note the following;
• Attached are the Progressive Invoices from Albwardy Damen for the works upon the 13th of February 2022 and not the final invoice. One invoice to be paid by Damen and one to be paid by Seamed (prior departure).
• Additional costs for additional dry docking days and the propellor repair (as approved today) will follow.
• Berthing and others charges as applicable in Dubai Maritime City by the authorities will be invoiced separately via the ship agent.
Furthermore, I would like to highlight the following:
• Initial offer was based on class renewal (for Ocean Bise an intermediate survey and for the Ocean Mistral an annual survey).
• Annual survey for the Ocean Mistral was completed end 2021 and for the Ocean Bise the intermediate survey is just completed (as per original agreement).
• In our final contract between Seamed / Damen we have agreed to skip the drydocking for the Ocean Mistral (as the annual survey was very recently completed) and a discount was included in the contract rates.
• During the next visit of [persoon C] in the UAE, we discussed about a drydocking for the Ocean Mistral and complete already the works for the intermediate survey (in order to save on a drydocking, costs and time when the vessel is due for intermediate survey).
• An additional split of scope was agreed between Seamed and Damen (see attached mail).
• We agreed that Damen will dry dock the vessel for an inspection (dry docking costs for the inspection for the account of Damen ).
• Based on the dry docking it was decided and agreed on an additional scope and additional underwater works (based on standard tariff sheets and for the account of Damen – see attached mail).
• Note; the vessels has be sold in a condition 'as is where is'. As a courtesy to the new owner, additional scope has been carried out by Damen for the account of Damen .
• Additional scope of works is agreed and will be invoiced directly between Seamed and " Albwardy Damen " (and not via Damen - in order to avoid additional intercompany charges for Seamed).”
Damen c.s. sturen op 3 maart 2022 een betalingsherinnering aan Seamed ten aanzien van de factuur voor de waarborgsom zoals bedoeld in artikel B.i. van Appendix I van de bevrachtingsovereenkomst. Seamed reageert per e-mail van dezelfde dag als volgt:
“We wait the confirmation of our intendant to confirm that the vessels are ready to start
I think is for this evening or tomorrow
When we receive the confirmation we pay immediately the cash buffer in your account
Sorry for the delay, but your team has the delay to delivery the 2 tugs”
Op 22 maart 2022 stuurt Seamed in reactie op een nieuwe betalingsherinnering van Damen c.s. het volgende bericht:
“We prepare the payment but we need that the vessels are ok.
Your team has confirmed that they have organize the treatment for the cockroach and at this moment necessary to finish the fire pump and other pump.
When all is finish we send the payment ?? to alwardy and to you”
Damen c.s. reageren dezelfde dag per e-mail, waarin zij onder meer het volgende schrijven:
“Fire pump is finished long time, other pump will be back on board tomorrow.
Cockroach treatment was done for the 3rd time this weekend. Hope your team can confirm the same.”
In reactie hierop stuurt Seamed onder meer het volgende aan Damen c.s. :
“We valid tomorrow your invoice and we will speak with the services to realize the transfer in a short time
I think the crew is on board and all is ok”
Seamed schrijft per e-mail van 8 april 2022 onder meer het volgende aan Damen c.s. :
“After our call of this morning with [persoon B] in Dubai, we confirm that all is clear for the reception of the two vessels Bises and Mistral .
We send the instruction to our accounting department to organize the cash buffer for the two vessels.”
Op 17 mei 2022 sturen Damen c.s. per e-mail aan Seamed onder meer het volgende het bericht:
“Hereby we serve you with a formal notification considering the contracts of the 2 x Stan Tug 2608 between SEA and RENT ("SEAMED") and Damen Shipyards .
On 4th of January 2022 the BARECON contract were signed for both Damen Charter International 1 B.V. (" DCI 1 ) and Damen Charter International 3 B.V. (" DCI 3 ").
On 18 January 2022 the invoices for the cash buffer for DCI 1 and DCI 3 have been shared with you by [persoon D] .
As of today, 16th of May 2022, we regret to note that not a single payment from SEAMED has been received.
Over the last months Seamed has several times assured that all the invoices were going to be paid. However, so far we haven't received any payment.
As formal owner of DCI 1 and DCI 3 , and as Managing Director of Damen Financial Services. I hereby notify you that SEAMED has the opportunity to settle the invoices before the end of this week.
In case SEAMED does not settle the invoices before the 20th of May 2022, we reserve the right to sell and/or charter the boats to another party and to terminate the contracts with Seamed.
Note, that termination of the contracts will not release Seamed from their obligations to settle the invoices for the costs as made by Damen Shipyards and Albwardy Damen related to the charter, repair and modifications works for
Seamed.”
In reactie op de mail van 17 mei 2022 stuurt Seamed op dezelfde dag onder meer het volgende bericht aan Damen c.s. :
“our client has a delay because he has not at this moment any authorisation for his job.
The delay is detrimental to all and I understand your position
I am waiting today or tomorrow for the bank confirmation to organize all the payment
we are reorganizing our operations as quickly as possible to break this deadlock
we plan to settle all this this week and we are sorry for the delay”
Damen c.s. sturen op 14 juni 2022 onder meer het volgende per e-mail aan Seamed:
“As of this date, to our surprise and great disappointment we are awaiting the receipt
of various amounts from your side in relation to (1) the down payment of EUR
124,225 per vessel (EUR 248,450 in total), (2) the various invoices from Damen
Albwardy in the total amount of AED 608,639.30 as well as (3) the charter hire that
was due as of the date of the crew came on board (19 March 2022) until today (14
June 2022) i.e. 2 vessels x 87 days x EUR 1,336, in the amount of 2 x EUR 116,232
(EUR 232,464 in total), thus totaling to an aggregate amount of: EUR 248,450; AED
608,639.30 (ER 0.26 = EUR 157,261.28) and EUR 232,464; which is equal to a total
of EUR 638,175.28. (...)
In addition to the payments that unfortunately remain outstanding, during one of our visits to the vessels we have witnessed that the conditions of the crew on board of the vessels were frankly astounding and unhumanitarian (lack of water and fuel, no electricity, no air-conditioning, no salary payments, etc.). This is an issue which leaves us, as legal owners of the vessels, in a seriously uncomfortable position which we do not support in any way.”
Seamed reageert per e-mail van 16 juni 2022. Hierin staat onder meer het volgende vermeld:
“As you probably know, the purpose of this acquisition was to meet our needs on a
project we had in Guinea Conakry of which you have received a copy of the
contract. To our great surprise, our client, having failed to obtain its bauxite export
licenses from the Guinean authorities, simply suspended the agreements between
us without prior notice.
You can imagine that the sudden stop of such a project was devastating for our
treasury, hence this rather peculiar situation between our two companies and the
temporary inability for us to meet the commitments we had with you.
Fortunately, in parallel to this Guinean project, we were also in the final stages of
negotiation for another project in Gabon of greater scope which has finally been
signed.
At the end of June, we will receive the first payments for this Gabonese project, and
we will therefore be able to meet all our commitments to you and I hope that all
these delays will not call into question our initial agreements.
To address your concerns about the working conditions of the crews on board the
ships, water and fuel have been supplied.”
Op 17 juni 2022 sturen Damen c.s. onder meer het volgende bericht aan Seamed:
“With reference to the reasoning in the below e-mail, taking this all into consideration, we have no other option then to take further actions by formally reclaiming the vessels.
We, as legal owner of these vessels, hereby request you to execute the attached
"Appointment Letter” on formal SEAMED letterhead and to sign and stamp the letter. The appointment letter releases the 2 vessels from Dubai Maritime City as of 17 June 2022 and authorizes Albwardy Damen as new legal operator to sail from there to Albwardy Damen in Sharjah.”
Op 29 juni 2022 heeft [Persoon E] namens Seamed een verklaring getekend ten behoeve van Rais Shipping Agency Co. L.L.C. waarin onder meer het volgende staat:
“We, Seamed, hereby authorize Damen / Albwardy Damen to take over the transfer of the vessels SEA BISE and SEA MISTRAL from their present position to their own yard in Sharja (Albwardy - Damen Shipyards Sharjah FZE) . SEAMED will remain the sole operator of these tugs and will be responsible for all costs related to this transfer towards RAIS SHIPPING AGENCY CO L.L.C..
This change is effective as of 29 June 2022. All outstanding dues, fees and any other costs still owed to the account of RAIS SHIPPING AGENCY CO. L.L.C. will be settled by Seamed prior the departure of the tugs. In the event that Seamed is not in the position to settle the costs prior the departure of the tugs, we allow Damen / Albwardy Damen to settle the outstanding costs with Rais Shipping Agency Co. L.L.C. and Seamed will reimburse Damen / Albwardy Damen in these costs to Damen / Albwardy Damen in full.
Furthermore, we would like to assure you that we are working on the repatriation of the crew and the settlement of the outstanding salaries.”
Damen c.s. schrijven onder meer het volgende in een e-mail van 1 juli 2022 aan Seamed:
“As explained we are in a very difficult situation and in order to prevent worse Damen has decided to take the following action;
1: Creating a better situation for the crew and arrange repreparation at the earliest.
2: Settle costs with DMC, so we can mobilize the boats from DMC to our yard in Sharjah.
3: Seamed shall reimburse Damen for the costs made.”
Seamed reageert per mail van 2 juli 2022 onder meer als volgt:
“You will find below the details of the amounts due for the tugs BISE and MISTRAL .
Concerning the crew salaries, as we only received the April invoices, the figures for May and June are only projections.
For the agent RAIS SHIPPING, the outstanding amount is correct.
• Crew wages April 29,453.65 Euros
• Crew wages May approximately 29,500.00 Euros (invoice not received)
• Crew wages June approximately 29,500.00 Euros (invoice not received)
• Rais Shipping to date 37,702.17 Euros
On Monday I will ask for the May and June invoices for the seafarers to be sent to me. What I don't have is the budget for the return air tickets, which I will also ask the agent for. See on your side what are the exact demands of each party and we will finalize together the exact amounts to be paid. If as mentioned, the funds are available from Monday on the SEAMED accounts, I will ask to transfer a sufficient amount to the DAMEN accounts to meet all these needs.”
Op 15 juli 2022 sturen Damen c.s. per e-mail de twee facturen voor de charterperiode van 119 dagen aan Seamed. In de e-mail staat verder onder meer:
“The vessels have been delivered the beginning of January, but Damen decided to start the charter period at the moment the crew came on board, on 19 March 2022.
The end of the charter period is when the redelivery of the vessels has been completed, date set of today, 15 July 2022.
For your information, we will carry out the charter out survey next week.”
3 Het geschil
Damen c.s. vorderen, na eiswijziging, dat de rechtbank, voor zover mogelijk uitvoerbaar bij voorraad, Seamed veroordeelt:

om aan DCI 1 tegen een behoorlijk bewijs van kwijting te betalen het bedrag van € 831.193,74, vermeerderd met de wettelijke rente vanaf 26 oktober 2022,

om aan DCI 3 tegen een behoorlijk bewijs van kwijting te betalen het bedrag van € 963.822,74, vermeerderd met de wettelijke rente vanaf 26 oktober 2022,
-
in de (na)kosten van dit geding.
Seamed voert verweer en concludeert tot het niet-ontvankelijk verklaren van Damen c.s. , dan wel hun vorderingen af te wijzen, met veroordeling, voor zover mogelijk uitvoerbaar bij voorraad, van Damen c.s. in de (na)kosten van dit geding.
in het (voorwaardelijke) incident
Seamed vordert in het voorwaardelijke incident, voor zover geoordeeld wordt dat tussen Seamed en Damen c.s. enige overeenkomst anders dan de garanties tot stand zou zijn gekomen, dat de rechtbank zich onbevoegd verklaart om kennis te nemen van de vorderingen gegrond op deze overeenkomsten.
