Op 1 januari 2024 treedt – ijs en weder dienende – de Omgevingswet in werking. Dit betekent een stelselwijziging over de volle breedte van het omgevingsrecht. Zo ook voor het waterrecht. Dit artikel wijst op hoofdlijnen de weg langs de meest in het oog springende veranderingen die de Omgevingswet betekent voor de waterpraktijk.

In deel 1 van dit tweeluik is expliciet ingegaan op de vele trechters en fuiken in het bestuursprocesrecht. Het betrof in concreto fuiken en trechters met benamingen als onderdelenfuik, grondenfuik, argumentieve fuik, bewijsfuik, bedenkingenfuik, personenfuik, onderdelentrechter, grondentrechter, bewijstrechter, etc. De betekenis van deze juridische termen zijn nader uitgelegd, waarbij in het bijzonder is ingegaan op de zogeheten ‘onderdelentrechter’ in beroep respectievelijk de ‘grondentrechter’ in hoger beroep, zoals deze voortvloeien uit art. 6:13 van de Algemene wet bestuursrecht en de daarop gebaseerde jurisprudentie in hoofdlijnen.

Bij gemeenten wordt hard gewerkt aan de invoering van de Omgevingswet. Omgevingsvisies of de actualisering daarvan worden vastgesteld. Er wordt gewerkt aan (en gepiekerd over) omgevingsplannen, geëxperimenteerd met intake- en omgevingstafels bij omgevingsvergunningen en geoefend met (en geklaagd over) het DSO.

De Raad van State heeft van 26 juni tot en met 13 augustus 2023 de volgende adviezen uitgebracht:

De volgende bekendmakingen zijn van 26 juni tot en met 13 augustus 2023 in de Staatscourant en het Staatsblad verschenen:

Op 26 juni 2023 heeft het ministerie van Financiën bekendgemaakt dat de maximale rente die aanbieders mogen rekenen op consumptief krediet (oftewel de maximale kredietvergoeding) per 1 juli is gestegen van 12% naar maximaal 14%.

Op 28 juni 2023 heeft het ministerie van Financiën gemeld dat de Europese Commissie een voorstel heeft gepresenteerd voor de mogelijke uitgifte van een digitale euro. De Europese Commissie stelt voor dat de digitale euro de status van wettig betaalmiddel krijgt, niet programmeerbaar wordt en dat de privacy van burgers in de EU op dezelfde wijze wordt bewaakt als bij huidige betalingen via de bank. Mensen mogen zelf beslissen of ze wel of niet digitale euro’s willen hebben en gebruiken om betalingen mee te doen. Contant geld blijft daarnaast gewoon beschikbaar.

Op 30 juni 2023 heeft de minister van Financiën de beoordeling van het Europese pakket retail beleggen naar de Tweede Kamer gestuurd.

Op 30 juni 2023 heeft het ministerie van Financiën de geannoteerde agenda voor de Eurogroep en Ecofinraad vergaderingen van 13 en 14 juli 2023 naar de Tweede Kamer gestuurd.

Op 5 juli 2023 heeft de minister van Financiën de onderzoeksopzet voor de periodieke rapportage over het beleidsthema stabiele, integere en betrouwbare financiële markten naar de Tweede Kamer gestuurd.

Op 6 juli 2023 heeft de minister van Financiën een Kamerbrief en het verslag van de plenaire vergadering van de Financial Action Task Force (FATF) van juni 2023 naar de Tweede Kamer gestuurd. De FATF is een internationaal orgaan met als doel het voorkomen en het bestrijden van witwassen, de financiering van terrorisme en de financiering van massavernietigingswapens om zo de integriteit van het internationale financiële stelsel te waarborgen.

Op 14 juli 2023 heeft de minister van Financiën de antwoorden op Kamervragen over de EU-rapportagestandaarden voor duurzaamheidsverslaggeving en de Nederlandse reactie op de consultatie van de Europese Commissie over de EU-standaarden voor duurzaamheidsrapportage naar de Tweede Kamer gestuurd.

Op 30 juni 2023 heeft de minister van Justitie en Veiligheid een Kamerbrief met het jaaroverzicht 2022 van de Financial Intelligence Unit Nederland naar de Tweede Kamer gestuurd.

Op 4 juli 2023 heeft de minister van Justitie en Veiligheid een Kamerbrief naar de Tweede Kamer gestuurd met haar reactie op de wetenschapstoets voor het wetsvoorstel tot wijziging van het Wetboek van Strafrecht en het Wetboek van Strafvordering. Het wetsvoorstel gaat over het verbeteren van de bestrijding van heling, witwassen en de daaraan ten grondslag liggende vermogensdelicten.

Op 1 juli 2023 heeft de het ministerie van Sociale Zaken en Werkgelegenheid gemeld dat de Wet toekomst pensioenen per 1 juli 2023 in werking is getreden. Daarmee begint een overgangsfase van enkele jaren waarin werkgevers en werknemers met elkaar afspraken gaan maken en pensioenuitvoerders deze afspraken gaan uitvoeren.

Op 5 juli 2023 heeft de minister voor Armoedebeleid, Participatie en Pensioenen de Tweede en Eerste Kamer met een Kamerbrief geïnformeerd over het uitstel van de inwerkingtredingsdatum van het keuzerecht bedrag ineens van het ouderdomspensioen.

Op 26 juni 2023 hebben de AFM en DNB een position paper gepubliceerd waarin de twee toezichthouders hun beleidsvisie en prioriteiten over datatoegang uiteenzetten. Beide toezichthouders pleiten ervoor dat beleidsmakers acties prioriteren die betrouwbare, innovatiegerichte en eerlijke datatoegang mogelijk maken.

Op 5 juli 2023 heeft de AFM de Leidraad opdrachtbevestiging gepubliceerd die pensioenfondsen richting geeft bij het adequaat informeren van sociale partners over de gevolgen en onderbouwing van gemaakte keuzes bij de totstandkoming van de pensioenregeling. De AFM publiceert deze leidraad omdat in de nieuwe Wet toekomst pensioenen sinds 1 juli ‘opdrachtbevestiging’ als nieuwe norm is opgenomen.

Op 17 juli 2023 hebben de AFM en DNB bekendgemaakt een vernieuwd samenwerkingsconvenant te zijn aangegaan. De twee toezichthouders leggen daarin afspraken vast over hoe zij samenwerken, onder andere rondom data-uitvragen en digitaal onderzoek. Het herziene convenant reikt bovendien verder dan toezichttaken. Zo zijn ook afspraken bekrachtigd op het gebied van bedrijfsvoering, digitalisering en personeelszaken.

Op 18 juli 2023 heeft de AFM een onderzoek gepubliceerd naar de naleving van de Wet op het financieel toezicht (Wft) bij de overdracht van fiscaal gefaciliteerde beleggingsproducten. Uit het onderzoek blijkt dat niet alle marktpartijen een toereikende vergunning hadden om klantgelden te mogen bewaren. Daarnaast signaleert de AFM een vermogensscheidingsrisico als het geld van de overstappende klanten (tijdelijk) op de eigen rekening van de marktpartij wordt bewaard. De AFM roept marktpartijen hier scherp op te letten en zo nodig in contact te treden met de AFM.

Op 20 juli 2023 heeft de AFM een toelichting gepubliceerd op de inhoudelijke aspecten van de Digital Operational Resilience Act (DORA). Het is raadzaam dat ondernemingen zo vroeg mogelijk beginnen met de voorbereidingen op DORA. Deze publicatie laat onder meer zien waar ondernemingen nu al mee aan de slag kunnen in afwachting van de uitwerking van nadere regelgeving. Vanaf januari 2025 moeten ondernemingen in scope van de verordening namelijk aan de regelgeving voldoen.

Op 27 juli 2023 heeft de AFM een nieuwe versie van de Leidraad Pensioenadvies gepubliceerd. Deze Leidraad is een update van de Leidraad uit 2018. De gewijzigde Leidraad biedt duidelijkheid over de Wft-norm, specifiek voor advisering over tweedepijlerpensioenproducten. De Leidraad kent voorts additionele adviesthema’s voor de advisering van werkgevers en sociale partners tijdens de periode van de pensioentransitie.

Op 1 augustus 2023 heeft de AFM een verkenning gepubliceerd naar duurzaamheidsrisicomanagement door beheerders van Nederlandse beleggingsinstellingen. Dit naar aanleiding van wijzigingen per 1 augustus 2022 in de UCITS-richtlijn en in de gedelegeerde AIFM-verordening. Het onderzoek, uitgevoerd in twee fases, richt zich op de identificatie, beoordeling, minimalisering en monitoring van duurzaamheidsrisico’s. De AFM heeft algemene observaties en specifieke inzichten geïdentificeerd op basis van de verzamelde gegevens.

Op 3 juli 2023 is DNB een consultatie gestart over het invaarsjabloon voor pensioenfondsen en de daarbij behorende invulinstructie. Met het invaarsjabloon beoogt DNB de fondsen een volledig beeld te geven van alle wettelijk verplichte elementen die een invaarbesluit moet bevatten. Het invaarsjabloon biedt naast de check of een aanmelding compleet is zowel DNB als de pensioenfondsen de gelegenheid om gezamenlijk tot een efficiënt proces te komen. De consultatie loopt tot 4 september 2023.

Op 3 juli 2023 heeft DNB bericht dat de mogelijkheid van een partiële beoordeling in ontwikkeling is. Bij een partiële beoordeling legt een pensioenfonds een afgebakend deel van het gehele invaarbesluit aan DNB voor wanneer het pensioenfonds de besluitvorming daarover heeft afgerond. DNB toetst vervolgens of dit deel van deze invaarbesluitvorming aan de eisen van de Wet toekomst pensioenen voldoet. Voor de betreffende deelgebieden baseert DNB de beoordeling van de uiteindelijke invaarmelding op de uitkomst van eventueel eerder al verrichte partiële beoordelingen, uiteraard voor zover het fonds in het vervolgtraject de invulling van het betreffende deelgebied niet meer heeft gewijzigd.

Op 3 juli 2023 heeft DNB de eerste beleidsuitingen over de Wet toekomst pensioenen gepubliceerd op Open Boek Toezicht. Met deze beleidsuitingen beoogt DNB te verduidelijken hoe zij toezicht gaat houden op (de transitie naar) het nieuwe pensioenstelsel en geeft DNB antwoord op enkele vragen die verband houden met de Wet toekomst pensioenen. Op dit moment zijn er – mede naar aanleiding van de openbare consultatie – al diverse nieuwe beleidsuitingen in ontwikkeling. Nieuwe beleidsuitingen van DNB worden gecommuniceerd via de desbetreffende WTP-verzamelpagina op Open Boek Toezicht.

Op 4 juli 2023 heeft DNB uiteengezet wat van banken wordt verwacht met betrekking tot de inrichting van de meldplicht voor deposito’s van onderdanen van Rusland en Belarus. Bij de vorige meldingen in 2022 diende DNB in opdracht van de bevoegde autoriteit, het ministerie van Financiën, als meldpunt. Voor deze meldplichten geldt dezelfde werkwijze. DNB zal wederom als meldpunt dienen en houdt dus verder geen toezicht op de naleving.

Op 10 juli 2023 heeft DNB beleggingsondernemingen en beheerders van icbe’s gewezen op de verplichting dat een verklaring van geen bezwaar (vvgb) vereist is voor partijen die een gekwalificeerd belang hebben. DNB roept alle (indirect) aandeelhouders van beleggingsondernemingen en beheerders van icbe’s op om te controleren of een vvgb aanwezig is voor de (indirecte) deelneming en of de vvgb voor de juiste bandbreedte is verkregen. Indien dat niet het geval blijkt te zijn, dient dit terstond gemeld te worden aan de betreffende toezichthouder van de beleggingsonderneming of beheerder van icbe’s.

Op 10 juli 2023 heeft DNB voor beleggingsondernemingen en beheerders van beleggingsinstellingen een factsheet gepubliceerd waarin enkele aandachtspunten nader worden toegelicht bij de interpretatie van prudentiële wet- en regelgeving.

Op 17 juli 2023 is DNB een consultatie gestart over zes sectorale beleidsuitingen inzake het onafhankelijk functioneren van een raad van commissarissen (RvC). De consultatie loopt tot 30 september 2023.

Op 18 juli 2023 heeft DNB bekendgemaakt vanaf 1 juli elk kwartaal de officiële P en Q scenariosets beschikbaar te stellen op basis van het advies van de Commissie Parameters 2022. Deze scenariosets moeten zowel in het bestaande als in het nieuwe pensioenstelsel door sociale partners en pensioenuitvoerders gebruikt worden voor een aantal wettelijk verplichte toepassingen.

Op 24 juli 2023 heeft DNB de uitkomsten toegelicht van een onderzoek naar marktrisico bij een aantal onder toezicht staande handelaren voor eigen rekening. Het doel van dit onderzoek was om inzicht te verkrijgen in het rapportage- en beheersingskader voor marktrisico. Uit het onderzoek is naar voren gekomen dat voor handelaren voor eigen rekening (HER) de eigenvermogensvereisten voor het grootste deel uit de marktrisicovereisten bestaan. Het onderzoek heeft ook uitgewezen dat HER’s doorgaans een substantiële kapitaalbuffer boven de minimumvereisten aanhouden. Deze buffer wordt niet noodzakelijk aangehouden voor het absorberen van verliezen, maar vanwege de handelsmogelijkheden die volatiele markten bieden.

Op 24 juli 2023 is DNB een consultatie gestart van de Good Practice beheersing inflatierisico verzekeraars. Deze Good Practice heeft als doel om de onder toezicht van De Nederlandsche Bank (DNB) staande verzekeraars handvatten te bieden bij de beheersing van het inflatierisico. Het inflatierisico voor verzekeraars is het risico op verliezen of op een ongunstige verandering in de financiële situatie als gevolg van de impact van inflatie op de (markt)waardering van activa en verplichtingen. De consultatie loopt tot 15 september 2023.

Op 4 augustus 2023 heeft DNB de uitkomsten gepubliceerd van de derde WTP-monitoringsvragenlijst die medio februari is gedeeld met pensioenfondsen. Uit de uitvraag blijkt dat een derde van de fondsen nog geen analyse heeft gemaakt of er aanvullende resources en/of expertise nodig zijn met het oog op de transitie. Daarnaast blijkt dat een deel van de fondsen die gaan invaren nog niet gestart is met de realisatie van de koppeling tussen vermogensbeheer en pensioenadministratie of nog geen afspraken heeft gemaakt met een externe accountant en/of IT-auditor over de controle van de datakwaliteit.

Op 4 juli 2023 heeft Eumedion haar reactie gepubliceerd op het Joint Consultation Paper van de Europese toezichthouders betreffende herziening van de vereisten voor SFDR-rapportage. Eumedion roept de toezichthouders op om terughoudend te zijn met het doorvoeren van wijzigingen in de transparantievereisten onder de Verordening betreffende informatieverschaffing over duurzaamheid in de financiëledienstensector.

Op 7 juli 2023 heeft Eumedion haar reactie gepubliceerd op de door de Europese Commissie voorgestelde Europese verslaggevingsstandaarden voor duurzaamheidsinformatie (ESRS). Eumedion verwelkomt het voorstel, maar ziet tegelijkertijd dat de standaarden op een aantal punten nog verder aangescherpt zouden moeten worden. Een van de belangrijkste aandachtspunten betreft de gelijkschakeling met de Verordening betreffende informatieverschaffing over duurzaamheid in de financiëledienstensector (SFDR), die onbedoeld kan leiden tot risico’s voor de kwaliteit en de bruikbaarheid van zowel de duurzaamheidsrapportage door ondernemingen als de rapportage door financiële instellingen. Tevens vindt Eumedion dat ondernemingen verplicht moeten worden gesteld om voldoende duidelijk te rapporteren over niet alleen het proces, maar ook de uitkomsten van de materialiteitstoets. Deze toets bepaalt immers welke onderwerpen in de duurzaamheidsrapportage aan bod komen, en voldoende begrip hiervan is voor gebruikers essentieel.

Op 27 juli 2023 heeft Eumedion een statement gepubliceerd met daarin zes aandachtspunten voor de onderhandelingen over de Corporate Sustainability Due Diligence Directive (CSDDD). Eumedion onderstreept onder meer het belang van het vermijden van overlap tussen de verschillende regelgevende kaders voor de financiële sector. Liefst zou Eumedion voor de financiële sector een volledige splitsing zien tussen due diligence­verplichtingen en -rapportage middels de CSDDD en CSRD enerzijds (voor de eigen operatie en de (in)directe zakenrelaties) en middels de SFDR anderzijds (voor de beleggingen).

Op 10 augustus 2023 heeft Eumedion een reactie gepubliceerd op het ontwerpwetsvoorstel voor de strafbaarstelling van ecocide. Hierin stelt Eumedion dat gelet op het huidige wettelijk kader institutionele beleggers niet in de hoedanigheid van aandeelhouder strafrechtelijk aansprakelijk moeten kunnen worden gesteld voor het plegen van ecocide door beursgenoteerde ondernemingen.

Op 22 juni 2023 heeft de NVB de herziene Gedragscode Kleinzakelijke Financiering gepubliceerd. Kleinzakelijke ondernemers krijgen in iedere fase van het financieringsproces de mogelijkheid om waar nodig in persoonlijk contact met de bank te komen. Ook zullen banken bij afwijzing van een kredietaanvraag nadrukkelijker verwijzen naar alternatieve vormen van financiering. Daarnaast is de Gedragscode op een groot aantal punten verduidelijkt en geactualiseerd. De Gedragscode werd in 2018 in het leven geroepen om kleinzakelijke ondernemers te informeren over wat zij minimaal van hun bank mogen verwachten als het gaat om financiering. De nieuwe Gedragscode geldt per 1 juli 2023.

Op 20 juli 2023 hebben de Nederlandse Vereniging van Banken, het Verbond van Verzekeraars en DUFAS een update gepubliceerd van de Leidraad Klimaatcommitment die in 2022 is ontwikkeld.

Op 13 juli 2023 hebben het Verbond van Verzekeraars en de Nederlandse Vereniging van Gevolmachtigde Assurantie-bedrijven (NVGA) een nieuwe Voorbeeld Samenwerkingsovereenkomst Volmacht (VSV) en een Voorbeeld Poolovereenkomst Volmacht (VPV) gemaakt. Daarmee kunnen verzekeraars en gevolmachtigden beter voldoen aan de allerlaatste wet- en regelgeving en zelfregulering, maar ook aan de bekende Good Practice van DNB over uitbesteding aan gevolmachtigden.

Op 4 juli 2023 heeft DUFAS haar reactie gepubliceerd op de consultatie van het ministerie van Financiën over het voorstel om de toegang tot het UBO-register te beperken. DUFAS is van mening dat een snelle toegang tot de eigen UBO-registraties van groot belang is. Ook een snelle toegang voor financiële instellingen is gewenst voor een goede invulling van de poortwachtersfunctie.

Op 26 juni 2023 heeft de Pensioenfederatie gereageerd op een consultatie over het aanwijzen van kritieke derde aanbieders van ICT-diensten (CTPPs). De Digital Operational Resilience Act (DORA) Verordening gaat over informatiebeveiliging voor de financiële sector. De Pensioenfederatie vindt dat pensioenuitvoeringsorganisaties (PUOs) niet moeten worden aangewezen als kritieke derde aanbieders van ICT-diensten onder DORA, omdat er geen reden is voor extra toezicht op PUOs.

Op 7 juli 2023 heeft de Pensioenfederatie haar reactie gepubliceerd op de door de Europese Commissie voorgestelde Europese verslaggevingsstandaarden voor duurzaamheidsinformatie (ESRS). Om duurzaam te kunnen beleggen en daarover volgens Europese regelgeving te kunnen rapporteren, moeten pensioenfondsen kunnen beschikken over relevante duurzaamheidsdata van bedrijven. Het voorstel van de Europese Commissie schiet volgens de Pensioenfederatie tekort omdat ondernemingen te veel en te vrijblijvend ruimte krijgen om niet of slechts gedeeltelijk te rapporteren over duurzaamheid. Tegelijkertijd wordt van institutionele beleggers wél verwacht dat ze rapporteren over het duurzaamheidsgehalte van hun beleggingen. Ook over de bedrijven die kiezen niet te rapporteren. Daarmee wordt de verantwoordelijkheid te eenzijdig bij beleggers neergelegd.

Op 31 juli 2023 heeft de Pensioenfederatie een reactie gepubliceerd in het kader van de consultatie van de nieuwe Leidraad Duurzaamheidsclaims van de AFM. De Pensioenfederatie vindt de uitgangspunten logisch, maar merkt op dat ze met elkaar kunnen botsen. De duurzaamheidsaspecten van beleggingsbeleid zijn complex en verschillen per asset class. Het is onmogelijk om hier heel exact over te communiceren en tegelijkertijd aan te sluiten bij het kennisniveau van de gemiddelde deelnemer. Het overgrote deel van de deelnemers schrikt namelijk snel terug voor complexe en grote hoeveelheden informatie. Een juridisering van de communicatie als gevolg van de voorgestelde Leidraad zal niet bijdragen aan het begrip bij de deelnemer en zijn betrokkenheid bij zijn pensioen, aldus de Pensioenfederatie.

Op 10 augustus 2023 heeft de Pensioenfederatie een reactie gepubliceerd op het ontwerpwetsvoorstel voor de strafbaarstelling van ecocide. Het probleem vraagt volgens de Pensioenfederatie om een internationale aanpak, beginnend bij Europa. Het initiatiefwetsvoorstel kent daarnaast veel definities die voor onduidelijkheid en onzekerheid kunnen zorgen. Ook is de verantwoordelijkheid van institutionele beleggers niet in lijn met de hoofdregel van het Burgerlijk Wetboek.

Op 29 juni 2023 heeft de KNB gereageerd op de consultatie over de Wijzigingswet beperking toegang UBO-registers. Voor de KNB is van belang dat notarissen in het kader van hun poortwachtersrol zo snel mogelijk en op eenvoudige en efficiënte wijze weer toegang krijgen tot het UBO-register, ook als voor deze toegang gebruik wordt gemaakt van faciliterende partijen. De KNB wil daarom graag nauw betrokken worden bij het opstellen van de algemene maatregel van bestuur en de regels die worden gesteld over de wijze waarop UBO-gegevens kunnen worden ingezien en over de bij het inzien van die gegevens te stellen voorschriften.

Op 19 juli 2023 heeft de NBA de herziene versie van de NBA-Handreiking 1138 gepubliceerd. Het gaat om een herziening van een aantal interpretaties van bepalingen in de Verordening 537/2014 van de Europese Unie.

Op 27 juli 2023 hebben de NBA, Eumedion en de Vereniging van Effectenbezitters gezamenlijk een brief gepubliceerd waarin de belangenverenigingen de Tweede Kamer oproepen de Wet toekomst accountancysector niet controversieel te verklaren nu het kabinet is gevallen.

On 28 June 2023 the European Commission put forward proposals to bring payments and the wider financial sector into the digital age. The new rules will further improve consumer protection and competition in electronic payments, and will empower consumers to share their data in a secure way so that they can get a wider range of better and cheaper financial products and services. These proposals place consumers’ interests, competition, security and trust at their centre.

On 27 June 2023 the European Commission welcomes the political agreement reached yesterday between the European Parliament and the Council on the Commission’s proposal of 2021 for a review of EU banking rules (the Capital Requirements Regulation and the Capital Requirements Directive), the ‘Banking Package’. The package implements the final set of international standards agreed by the EU and its G20 partners in the Basel Committee on Banking Supervision, so-called Basel III standards, to make banks more resilient to possible economic shocks. Specifically, the package aims to ensure that banks using ‘internal models’ to calculate their capital requirements measure risks in a consistent way.

On 28 June 2023 the European Commission welcomes the political agreement reached yesterday between the European Parliament and the Council on the Commission’s proposal of March 2022 to review the Central Securities Depositories Regulation (CSDR). Central Securities Depositories operate the infrastructure that enables the settlement of securities (such as shares or bonds) in financial markets. Central Securities Depositories play a central role in the EU’s capital markets and financial system.

On 30 June 2023 the European Commission launched a feedback period for the proposal for a Regulation on a framework for Financial Data Access and amending Regulations (EU) No 1093/2010, (EU) No 1094/2010, (EU) No 1095/2010 and (EU) 2022/2554. The feedback period runs until 30 August 2023.

On 3 July 2023 the European Commission extended the feedback period for the proposals for a Directive amending Directives (EU) 2009/65/EC, 2009/138/EC, 2011/61/EU, 2014/65/EU and (EU) 2016/97 as regards the Union retail investor protection rules as well as a Regulation amending Regulation (EU) No 1286/2014 as regards the modernisation of the key information document. The feedback period runs until 28 August 2023.

On 17 July 2023 the European Commission launched a feedback period for the Draft Implementing Decision amending Commission Implementing Decision (EU) 2016/2272 on the equivalence of financial markets in Australia in accordance with Regulation (EU) No 648/2012 of the European Parliament and of the Council to take account recent developments in the financial markets in Australia. The feedback period runs until 14 August 2023.

On 20 July 2023 the European Commission welcomed the political agreement reached last night between the European Parliament and the Council on the Commission’s proposal to improve the regulatory framework applicable to the investment funds industry, which the Commission adopted as part of the Capital Markets Union package of 25 November 2021. The reform is amending both the Directive on Undertakings for Collective Investment in Transferable Securities (UCITS), and the Alternative Investment Fund Managers Directive (AIFMD). It covers funds that are easily accessible to retail investors and those which are designed primarily for professional investors, such as private equity and hedge funds.

On 31 July 2023 the European Commission adopted the European Sustainability Reporting Standards (ESRS) for use by all companies subject to the Corporate Sustainability Reporting Directive (CSRD). The standards cover the full range of environmental, social, and governance issues, including climate change, biodiversity and human rights. They provide information for investors to understand the sustainability impact of the companies in which they invest. They also take account of discussions with the International Sustainability Standards Board (ISSB) and the Global Reporting Initiative (GRI) in order to ensure a very high degree of interoperability between EU and global standards and to prevent unnecessary double reporting by companies. The reporting requirements will be phased in over time for different companies.

On 20 July 2023 the European Council and the European Parliament reached a provisional agreement on new rules to improve European capital markets and strengthen investor protection in the EU. The provisional agreement reviews the alternative investment fund managers directive, which governs managers of hedge funds, private equity funds, private debt funds, real estate funds and other alternative investment funds in the Union. It also modernises the rules in the framework for undertakings for collective investment in transferable securities (UCITS), i.e. plain-vanilla EU-harmonised retail investment funds such as unit trusts and investment companies.

On 27 June 2023 the European Council reached a provisional agreement with the European Parliament on an update to the rules on central securities depositories (CSDs). The new law will reduce the financial and regulatory burden on CSDs and improve their ability to operate across borders, while also strengthening financial stability.

On 29 June 2023 the European Council reached a provisional agreement with the European Parliament on changes to the EU’s trading rules that will increase the global competitiveness of the EU’s capital markets and give investors access to the market data necessary to invest in financial instruments more easily. The revision of the Markets in Financial Instruments Regulation (MiFIR) and the Second Markets in Financial Instruments Directive (MiFID II) aims to empower investors, in particular by making consolidated market data easily available at EU level.

On 6 July 2023 EBA published its final draft Regulatory Technical Standards (RTS) on Initial Margin Model Validation (IMMV) under the European Markets Infrastructure Regulation (EMIR). These draft RTS set out the supervisory procedures to ensure the prudent use of initial margin models for OTC derivatives. In an accompanying Opinion, and as part of the ongoing negotiations on EMIR, the EBA calls on co-legislators to consider the establishment of a central validation function in the EU.

On 7 July 2023 EBA launched a public consultation on amendments to the draft Implementing Technical Standard (ITS) on disclosure and reporting of the minimum requirement for own funds and eligible liabilities (MREL) and the total loss absorbency requirement (TLAC). These amendments aim to reflect changes to the prudential framework that came or will soon come into force and provide clarifications on the information to be reported in the insolvency ranking templates. The consultation paper also includes an updated mapping between disclosure and reporting requirements. The consultation runs until 18 August 2023.

On 12 July 2023 EBA published a statement for the attention of financial institutions and other undertakings who intend to commence, or have commenced, asset-referenced token (ART) or electronic money token (EMT) activities prior to 30 June 2024 (the application date for the relevant provisions of the Markets in Crypto-assets Regulation – MiCAR) and for competent authorities. The statement is intended to encourage timely preparatory actions to MiCAR application, with the objectives to reduce the risks of potentially disruptive and sharp business model adjustments at a later stage, to foster supervisory convergence, and to facilitate the protection of consumers.

On 12 July 2023 EBA launched a public consultation on draft regulatory technical standards (RTS) on complaints handling procedures for issuers of asset-referenced tokens (ARTs) under the Markets in Crypto-Assets Regulation (MiCAR). These draft RTS aim at ensuring prompt, fair and consistent handling of complaints by holders of ARTs and other interested parties. The consultation runs until 12 October 2023.

On 12 July 2023 EBA launched a public consultation on two sets of draft regulatory technical standards (RTS) and one set of implementing technical standards (ITS) relating to the authorisation as issuer of asset-referenced tokens (ARTs) and the assessment of acquisition of qualifying holdings in issuers of ARTs under the Markets in Crypto-assets Regulation (MiCAR). With these technical standards, the EBA aims to regulate access to the EU market of ARTs by applicant issuers and persons intending to exercise significant influence on these undertakings via the acquisition of qualifying holdings. The consultation runs until 12 October 2023.

On 13 July 2023 EBA published its fourth biennial Opinion on the risks of money laundering and terrorist financing (ML/TF) affecting the European Union’s financial sector. It also sets out what competent authorities and EU co-legislators can do to mitigate those risks.

On 18 July 2023 EBA published the Decision on an ad hoc data collection of institutions’ ESG data. The Decision will provide competent authorities and the EBA with the necessary data and tools to fulfill monitoring functions and ESG-related mandates by collecting the information that is already available to institutions as part of their Pillar 3 disclosure obligations with respect to ESG risks.

On 19 July 2023 EBA published its final Guidelines on the overall recovery capacity (ORC) in recovery planning. The Guidelines establish a consistent framework for the determination of the ORC by institutions in their recovery plans and the respective assessment by competent authorities and aim at strengthening institutions’ effective crisis preparedness.

On 20 July 2023 EBA launched a public consultation on draft templates for collecting climate related data from EU banks. This effort is part of the one-off Fit-for-55 climate risk scenario analysis, which the EBA will carry out together with the other European Supervisory Authorities (ESAs) and with the support of the European Central Bank (ECB) and the European Systemic Risk Board (ESRB). The draft templates are accompanied by a template guidance, which includes definitions and rules for compiling the templates. The consultation runs until 11 October 2023.

On 24 July 2023 EBA published its Report on the treatment of interdependent assets and liabilities in the net stable funding ratio (NSFR). This Report assesses the conditions under which assets and liabilities can be treated as interdependent in the NSFR and the description of the list of activities that are considered to meet those conditions. The EBA has only limited recommendations for the Commission at this stage, which concern extendable maturity triggers for covered bonds and indirect derivatives client clearing activities.

On 25 July 2023 EBA launched a consultation on the draft Guidelines on the application of the group capital test for investment firm groups. These Guidelines aim at setting harmonised criteria to address the observed diversity in the application of the group capital test across the EU. In particular, the Guidelines identify criteria to assist Competent Authorities in their assessment of the simplicity of the group structure and the significance of the risk posed to clients and the market. The consultation runs until 25 October 2023.

On 26 July 2023 EBA launched a public consultation on its draft Guidelines on the establishment and maintenance of national lists or registers of credit servicers under Directive 2021/2167 (the Credit Servicers Directive, CSD). The consultation runs until 26 October 2023.

On 27 July 2023 EBA and ESMA published a Report assessing the implementation of the Shareholder Rights Directive 2 (SRD2). This assessment, carried out in response to a European Commission’s request, identifies areas for further progress and provides detailed suggestions for policy action, in relation to the Directive’s effectiveness, difficulties in practical application and the appropriateness of the scope of application.

On 31 July 2023 EBA published its Final Report on Implementing Technical Standards (ITS) on supervisory reporting with respect to IRRBB. The amended final draft ITS equip supervisors with the appropriate data to monitor risks arising from interest rates’ changes. In addition, they aim at providing quality data to supervisors to monitor institutions’ IRBB risk and the implementation of the policy package published by EBA in October 2022.

On 1 August 2023 EBA launched a public consultation on amendments to its Guidelines on the specification and disclosure of systemic importance indicators. The proposed changes aim primarily at updating the annex which replicates the data template issued by the Basel Committee on Banking Supervision (BCBS) on a yearly basis. The consultation runs until 1 September 2023.

On 2 August 2023 EBA published an updated guidance on how to compile and report to the International Monetary Fund (IMF) the Financial Soundness Indicators (FSI) based on EBA data. FSIs provide insight into the financial health and soundness of countries’ financial institutions as well as corporate and household sectors, thus supporting the economic and financial stability analysis.

On 3 August 2023 EBA launched a public consultation on draft Regulatory Technical Standards (RTS) to identify extraordinary circumstances of market disruption, permitting to waive certain requirements for the calculation of own funds requirements for market risk on the basis of internal models. The consultation runs until 3 November 2023.

On 3 August 2023 EBA published for the first time a Report which monitors the progress made by resolution authorities in embedding the key topics identified in the EBA’s 2022 European Resolution Examination Programme (EREP) into their respective priorities and resolution colleges in 2022. The Report observes that, overall, resolution authorities incorporated the work priorities set by the EBA, with MREL monitoring being a key focus. The EREP priorities set for 2024 mainly confirmed the areas of focus set for 2023 although with updated specific elements and extension of the operationalisation of the bail-in tool to cover the operationalisation of the resolution strategy more generally.

On 4 August 2023 EBA published a follow-up Report presenting the feedback received during the consultation on machine learning (ML) used in the context of internal ratings-based (IRB) models. This follow-up Report summarises the main conclusions from the consultation and provides an overview of the current use cases of ML techniques for IRB models.

On 7 August 2023 EBA published its Decision to run an ad-hoc data collection of institutions’ IRRBB data. This data collection will provide competent authorities and the EBA with timely and necessary data and tools to monitor risks arising from interest rate changes and the implementation of the IRRBB scrutiny plan. The ad-hoc collection follows a proportionate approach, as it will apply only to those institutions that are already providing IRRBB data in the context of the QIS exercise and include the same templates that these institutions will have to report once the final ITS on IRRBB reporting starts applying.

On 7 August 2023 EBA updated its roadmap for the implementation of internal ratings based (IRB) model requirements to limit compliance costs for institutions. EBA also published its final supervisory handbook for the validation of internal ratings based (IRB) rating systems to clarify the role of the validation function as part of corporate governance.

On 8 August 2023 EBA published a Report on its mystery shopping exercise into personal loans and payment accounts. The exercise confirmed that mystery shopping is a tool that adds immense value to the supervision of national competent authorities and is complementary to other more conventional tools or approaches. It delivers first-hand information about, and insight into, the conduct of financial Institutions towards consumers visiting a branch or using a digital channel.

On 10 August 2023 EBA published its third Report on the functioning of anti-money laundering and countering the financing of terrorism (AML/CFT) colleges. The Report finds that competent authorities had taken important steps to improve the functioning of AML/CFT colleges. Nevertheless, many colleges had not reached full maturity. The Report highlights good practices that will be useful for competent authorities to further improve the effectiveness of AML/CFT colleges and of supervisory outcomes.

On 30 June 2023 ESMA published its Report on the implementation and functioning of the Intra-day Volatility Management Mechanism (IVM). Following an assessment of the IVMs introduced by trading venues and identification of differences in the approaches taken in their implementation and calibration, ESMA finds that they have been adequately set up. ESMA however also highlights some practical challenges.

On 3 July 2023 ESMA submitted to the European Parliament, the Council and the European Commission its second report on national rules governing the marketing of investment funds under the Regulation on cross-border distribution of funds. The key findings are the following. The transposition of the Directive on cross-border distribution of funds and the entry into force of the ESMA Guidelines on funds’ marketing communications helped reach a greater level of harmonisation in areas where national divergences existed (identified in the first report submitted in 2021). Despite the powers NCAs have under the Regulation, it is apparent that only a limited number of NCAs carried out any ex-ante verifications of marketing communications, while an increasing number of NCAs reported carrying out ex-post verifications.

On 6 July 2023 ESMA published a Statement on its 2022 Common Supervisory Action (CSA) and on the mystery shopping exercise regarding compliance with disclosure requirements for costs and charges under MIFID II. Overall, firms comply with most of the elements of the ex-post cost and charges requirements under MiFID II. This level of compliance varies across Member States. The CSA exercise revealed certain shortcomings in information provided to retail clients and suggests areas for improvement regarding both disclosure format and content.

On 6 July 2023 ESMA launched a Common Supervisory Action (CSA) with National Competent Authorities (NCAs) on sustainability-related disclosures and the integration of sustainability risks. The goal is to assess the compliance of supervised asset managers with the relevant provisions in the Sustainable Finance Disclosure Regulation (SFDR), the Taxonomy Regulation and relevant implementing measures, including the relevant provision in the UCITS and AIFMD implementing acts on the integration of sustainability risks.

On 10 July 2023 ESMA published its Manual on post-trade transparency. As a user-friendly tool for post-trade transparency and transparency calculations, this manual provides market participants and national competent authorities with guidance for how to apply the relevant MiFIR obligations in a consistent manner. The Manual will be updated on a regular basis when further guidance is necessary or legal and legislative changes occur. The Manual will also be updated following the review of MiFIR and the revision of its relevant Level 2.

On 11 July 2023 ESMA published a supervisory briefing on understanding the definition of advice under MiFID II. ESMA reviewed and updated the CESR Q&A on Understanding the Definition of Advice under MiFID, a document that is widely used by supervisors and firms, to align it with new business models and recent technological developments.

On 11 July 2023 ESMA issued a Public Statement on the sustainability disclosure expected to be included in prospectuses. The statement sets out ESMA’s expectations on how the specific disclosure requirements of the Prospectus Regulation in relation to sustainability-related matters in equity and non-equity prospectuses should be satisfied considering the Environmental, Social and Governance (ESG) transition.

On 11 July 2023 ESMA published its Final Report on the review of the technical standards for passporting under Article 34 of MiFID II. ESMA’s proposals include targeted amendments to the existing RTS and ITS that would add new information requirements to the list of details investment firms have to provide at the passporting stage.

On 11 July 2023 ESMA issued an Opinion on product intervention measures taken by the Spanish Comisión Nacional del Mercado de Valores (CNMV). The measures consist of two elements. First, further restrictions on the marketing of CFDs, including the advertisement of CFDs to the public. Second, the introduction of initial margin and margin close out requirements to products where the investor may lose more than initially invested. ESMA encourages all National Competent Authorities (NCAs) to monitor whether similar risks as those identified by the CNMV may arise in their jurisdictions.

On 12 July 2023 ESMA launched its first consultation under the Markets in Crypto-Assets Regulation and invites comments from stakeholders by 20 September 2023. In this first of three consultation packages, ESMA is seeking input on proposed rules for crypto-asset service providers (CASPs), in particular related to their authorisation, identification and management of conflicts of interests and also how CASPs should address complaints. The consultation runs until 20 September 2023.

On 12 July 2023 ESMA published the Final Report on the feedback received to the 2022 Call for Evidence on pre-hedging. ESMA concludes that pre-hedging is a voluntary market practice which might give rise to conflicts of interest or abusive behaviours. Whereas ESMA does not find arguments to ban this practice at this stage, it also flags that these risks should be considered when issuing any future guidance.

On 12 July 2023 ESMA published a Statement on securities lending to retail clients setting out the applicable requirements under the Markets in Financial Instruments Directive (MiFID II). The Statement highlights investor protection concerns related to securities lending and outlines the obligations of firms engaging in this practice.

On 13 July 2023 ESMA updated the following Questions and Answers: (i) on the Implementation of the CRA Regulation and (ii) on the Securitisation Regulation.

On 17 July 2023 ESMA published a Report on Suspicious Transactions and Order Reports (STORs). The report provides an overview of how STORs are used across different jurisdictions in the context of the detection and investigation of market abuse, and how their use has evolved over time.

On 18 July 2023 ESMA published its 2022 reports on the use by National Competent Authorities (NCAs) of sanctions under the Undertakings for Collective Investments in Transferable Securities (UCITS) and the Alternative Investment Fund Managers Directive (AIFMD). The pattern evidenced by the reports throughout the years (since 2013 for AIFMD and 2016 for UCITS) shows that, besides a limited number of NCAs issuing an increasing number of sanctions, the level of sanctions issued at national level remains stable and generally low, in particular when it comes to penalties.

On 19 July 2023 ESMA published a Final Report reviewing the RTS to further harmonise CCP policies and procedures for selecting, assessing and reviewing anti-procyclicality (APC) margin measures. ESMA’s proposals include targeted changes to the existing RTS in order to better mitigate the potential procyclical effects of big steps margin changes on clearing members and clients, as well as limit the spread of liquidity stress to other parts of the financial system.

On 25 July 2023 ESMA withdrew the recognition decisions of three central counterparties (‘CCPs’) established in the United Arab Emirates. The withdrawal of recognition decisions will therefore enter into effect on 25 October 2023. From that date, the three CCPs concerned will no longer be permitted to provide clearing services to clearing members or trading venues established in the EU.

On 3 July 2023 EIOPA published its draft Regulatory Technical Standards (RTS) adapting the base euro amounts for the professional indemnity insurance (PII) cover and financial capacity of intermediaries under the Insurance Distribution Directive (IDD).

On 4 July 2023 EIOPA published an opinion on a delegation agreement between two national supervisory authorities, the Dirección General de Seguros y Fondos de Pensiones (DGSFP) and De Nederlandsche Bank N.V. (DNB). The opinion concerns the delegation of tasks and responsibilities of group supervision of Aegon N.V. Group (Aegon), an insurance group currently supervised by the DNB and operating in the Netherlands, Spain, Portugal and outside of the European Union.

On 20 July 2023 EIOPA published a peer review report on product oversight and governance (POG). This is the first peer review in the area of conduct of business supervision to assess how national supervisors in the European Economic Area (EEA) are supervising the application of POG requirements by insurance manufacturers. The peer review has found that most national competent authorities (NCAs) have adapted their supervisory approaches and processes to the supervision of POG requirements in line with the provisions introduced by the Insurance Distribution Directive (IDD) and the POG Delegated Regulation.

On 24 July 2023 EIOPA launched a consultation on an Open Insurance use case by publishing a Discussion Paper examining the key features of an insurance dashboard. The paper is a follow up to an initial Discussion Paper on Open Insurance, after which EIOPA concluded that further work on more concrete, specific and detailed open insurance use cases might facilitate a better understanding of implications for consumers, industry and supervisors. The consultation runs until 24 October 2023.

On 24 July 2023 the ECB launched a public consultation on its Guide on effective risk data aggregation and risk reporting. The Guide outlines prerequisites for effective risk data aggregation and risk reporting (RDARR) to assist banks in strengthening their capabilities, building on good practices observed in the industry. The Guide intends to specify and reinforce supervisory expectations in this field, taking into account the Basel Committee on Banking Supervision’s Principles for effective risk data aggregation and risk reporting (BCBS 239). It complements and does not replace the guidance already provided since 2016 in public communications and in institution-specific supervisory activities. The consultation runs until 6 October 2023.

On 30 June 2023 the SRB published its Annual Report for 2022. The report details the work of Europe’s Single Resolution Board and highlights the progress made in making Europe’s banking sector more stable, by ensuring all of the SRB’s banks make themselves resolvable.

On 4 August 2023 the SRB reported that the ECB and the SRB have signed Memorandum of Understanding (MoU) on the exchange of certain types of confidential statistical information, in order to improve analysis related to bank resolution. The MoU is an important milestone in the cooperation between the SRB and ECB. It replaces the existing ad-hoc statistical data exchange and it provides for a general framework agreement for sharing confidential statistical data collected by the Eurosystem in its role as euro area monetary authority.
